How Georgian company tax works
- No tax on retained profit. Georgia uses a distributed-profit model: the 15% profit tax applies only when you pay profit out.
- Dividends to individuals: 5%.
- Salaries: 20% income tax withheld, plus 2% pension contribution from the employee and 2% from the employer.
- VAT: registration is required once VAT-able turnover exceeds GEL 100,000 in any 12 months. Services supplied to foreign clients are generally outside Georgian VAT.
How registration works
- Free call. We agree the structure, the shareholders, the director and the business activities.
- Documents. We draft the charter in Georgian and English, plus the power of attorney.
- Notary and apostille. Shareholders and directors sign the power of attorney where they live and have it apostilled or legalised.
- Registration. We register the company at the Public Service Hall with its legal address; the tax ID is issued at the same time.
- Tax setup. We open the rs.ge account and, if needed, register for VAT.
- Next steps. Bank account, Virtual Zone application, accounting.
